AI Supplement: Limited Subscriber Permission to Use AI with Parameta Solutions’ Data Products and Data

1. Scope

This AI Supplement (“AI Supplement”) applies to Data and Data Products licenced under any Order Form by Parameta Solutions to Subscribers (including any Licenced Affiliates (“Subscriber” or “You”) and takes effect from 3 September 2026 .  Capitalised terms used herein but not defined here have the meaning set forth in the applicable Order Form or Agreement.  Under no circumstances shall (i) any Data or Data Products be uploaded to any public AI system or (ii) You use any Data or Data Products in any AI System in any way or any manner which does or may, at Parameta Solutions’ sole determination, result in creation of output which competes with, duplicates, or could be used as a substitute for  any products or services offered by Parameta Solutions, its affiliates or its data providers.

2. Definitions

“Agreement” means any agreement which governs or is incorporated into an Order Form, including a data licence agreement, distribution agreement, services agreement, online terms and similar agreements.

“AI” means technologies such as machine learning, large language models, small language models, deep learning and generative AI.

“AI System” means a machine-based system which:

  • is designed to operate with varying levels of autonomy and that may exhibit adaptiveness after deployment, that uses computational, statistical, machine-learning or other artificial intelligence techniques to infer or learn from data to find patterns, take actions, make decisions, or generate output including predictions, content, or recommendations;
  • is appropriately-licenced for business use, private and enterprise-only (and under no circumstances public);
  • is stored and maintained on hardware, software, equipment or infrastructure which is under the exclusive control of Subscriber or within a private, walled-off cloud environment maintained exclusively for the use of Subscriber and its Affiliates; and
  • has layered architecture models, such as (without limitation): model layer, retrieval layer, agent/runtime layer, integration or Model Context Protocol server layer.

“Notice” means provision of reasonable notice in accordance with Parameta Solutions’ then-current standard notification to clients.

“Order Form” means an order form between Subscriber (or an Affiliate of Subscriber) and Parameta Solutions (or an Affiliate of Parameta Solutions) that incorporates the terms of an Agreement, pursuant to which a Licence to Data or to Data Products is granted.

“Parameta Solutions” means the Parameta Solutions or TPICAP entity so defined in an Order Form.

“Train” means the process of enabling an AI System, such as a machine learning model, a large language model or a small language model to learn patterns and relationships from data or development of such AI System.

3. Permitted and Prohibited Use of Data Products within an AI System

3.1 You may use the Data and Data Products in the AI System (which for the avoidance of doubt must not be a public AI system), subject at all times to the following provisos that You:

(i) are fully responsible for, and take on all liability in respect of, the AI System’s processing and use of such Data and Data Products, and ensure compliance with this AI Supplement, the relevant Agreement and Order Form;

(ii) maintain (and require any AI System third party provider to maintain) industry standard security safeguards, including access controls that prohibit access by any AI System third party provider to the Data and Data Product and any output generated from the Data and Data Product;

(iii) to the extent that You have rights pursuant to an Order Form to generate Derived Data, ensure that any Derived Data output generated by the AI System is subject to full compliance with the licence terms under the relevant Agreement and Order Form (including without limitation any terms regarding the creation of such Derived Data, scope of licenced distribution, use of licenced delivery methods or third-party service providers or distributors, and any required deletion); and

3.2 Unless You are (i) expressly permitted by an Order Form and (ii) You have exercised your Option to purchase a licence in perpetuity to use the historical portion of the Data, you must not use the Data or Data Products (i) to Train any AI System; (ii) to create a product or model; or (iii) in any other way or manner which would result in an inability to purge the Data or Data Products due to technical constraints.

3.3 (i) Any use of the Data and Data Products in any AI System in any manner other than as permitted above is strictly prohibited and requires our prior written permission;

(ii) The Data and Data Products must not be used in connection with any high-risk or prohibited usage of AI under applicable law, rule or regulation (including without limitation the EU AI Act); and

(iii) Certain of Parameta Solutions’ third party data providers may limit or exclude permission to use their data in an AI System and the limited permitted use rights set forth in this AI Supplement do not seek to modify any such limits or exclusions.

  • This AI Supplement is incorporated into any Order Form and Agreement.
  • Capitalized terms used but not defined in this AI Supplement shall have the same definitions as in the applicable Order Form and Agreement.
  • Your use of the Data and Data Products with AI signifies agreement to this AI Supplement and to maintain the conditions and requirements herein.
  • Parameta Solutions reserves the right to modify, with Notice, this AI Supplement to reflect changes in laws or circumstances and will release any such changes to this AI Supplement in a newly dated version.
